Convert from RS232 to Ethernet

I have a software which communicates with a PIC Microprocessor over RS232 port. I am required to change from RS232 to Ethernet port.

I need guidelines for changes that I need to do in order to convert my RS232 communication to Ehernet communication.

This looks more like a networking question than VB6 to me.
